• Acceptance of the Terms

  These Terms of Use (the “Terms”) establish a legally binding contract between Afudaa.com Online Marketplace Nigeria Limited and its affiliated companies (referred to as the “Administrator,” “we,” or “us”) and you. It is essential to carefully read these Terms as they govern your access and use of the Afudaa.com website, mobile applications, and associated services, collectively referred to as the “Service” or the “Platform.” By accessing or using the Service, you agree to abide by these Terms. If you disagree with any part of these Terms or are ineligible or unauthorized to be bound by them, please refrain from accessing or using the Service. Additionally, review our Privacy Policy, as its terms are expressly incorporated into these Terms. The Administrator reserves the right to make changes or modifications to these Terms at any time, with or without prior notice.

• Important Disclaimers

  All services provided by the Administrator are offered "as is," "as available," and "with all faults." The Administrator disclaims all warranties, expressed or implied, including guarantees regarding condition, quality, life duration, performance, accuracy, reliability, commercial value, and suitability for specific purposes. The Administrator has no control over and does not guarantee the existence, quality, safety, or legality of goods and services published by users on the Platform. Users are encouraged to check goods before payment and to request sellers to provide documents confirming compliance with applicable legal requirements.

• Account Registration

  To utilize certain features of the Service, you must register an account on the Platform (referred to as the “Account”) and provide necessary information prompted by the registration form. Account creation can be done as an individual or as an authorized representative of a company. Each user is responsible for safeguarding and maintaining the confidentiality of Account access details and is fully responsible for activities conducted using those details. Users must promptly notify the Administrator of any unauthorized or suspected use of their Account.

• Service

  The Platform is an online service enabling users to create and publish announcements, view announcements from other users, and communicate with other users using contact details provided in announcements. The Administrator is not an importer, manufacturer, distributor, or seller of items posted by users. The sale and purchase contracts or service contracts are directly between users, and the Administrator is not a party to such transactions. The Administrator reserves the right to delete or block access to announcements without notice under specific circumstances outlined in these Terms.

• Fees

  While the Platform is generally free, certain services may be payable. Users are eligible to register more than one Account if using payable services on each. Fees for payable services and accepted payment methods are disclosed on the Platform. The Administrator reserves the right to change fees and acceptable payment methods at its discretion. Unless otherwise provided by mandatory rules of applicable law, fees are non-refundable due to the online nature of services.

• User Representations and Warranties

  By using the Service, you represent and warrant that you have the legal capacity, are above 18 years of age, and will comply with these Terms. If registering as a representative of a legal entity, you are authorized by the company to enter into an agreement with the Administrator and other users. You agree not to use the Service for any illegal or unauthorized purpose, including posting announcements that offer prohibited items or infringe on the rights of others.

• Indemnity

  You agree to indemnify and hold the Administrator and its affiliates, partners, and representatives harmless from any claims, demands, losses, damages, and actions arising from your use of the Platform, your User Content, or violation of these Terms.

• Limitation of Liability

  The Administrator and its affiliates shall not be liable for any indirect, consequential, exemplary, incidental, or punitive damages arising from these Terms or use of the Service, even if advised of the possibility of such damages.

• Intellectual Property Rights

  User Content submitted to the Administrator remains the intellectual property of the user. The Administrator does not claim ownership but retains the right to use and make User Content public on the Platform for operational and marketing purposes. Users agree that their use of the Service will not infringe on the rights of others.

  Materials on the Platform, excluding user-posted content, and trademarks belong to or are licensed by the Administrator. Unauthorized use of such materials and marks is not allowed.

• Notice for Claims of Intellectual Property Violations and Copyright Infringement

  If you believe material on the Platform infringes your intellectual property rights, please follow the procedure outlined in the Terms.

• Governing Law and Jurisdiction

  These Terms are governed by the laws of the Republic of Nigeria. Any dispute arising from these Terms shall be resolved through arbitration under the Arbitration and Conciliation Act of Nigeria, with arbitration taking place in Lagos, Nigeria.

• Miscellaneous Provisions

  If any provision of these Terms is deemed invalid or unenforceable, it shall not affect the validity and enforceability of the remaining provisions. The Administrator may transfer and assign rights and obligations under these Terms. Failure to take action in case of breach does not waive the right to use remedies in other situations. The Administrator is not liable for failure to comply with these Terms due to factors beyond its control.

• Afudaa Contest Rules

  Applicable tax legislation may subject awards to withholding tax. The ultimate responsibility for individual income taxes related to the award remains with the recipient. Contact support@afudaa.com for any notices under these Terms.
